Terms and Conditions
These Terms and Conditions ("Terms") govern your access to and use of shelly.openingbellventures.ai (the "Site"), including any forms, content, and the demo call feature available through the Site (together, the "Services"), operated by Opening Bell Ventures, LLC ("Opening Bell Ventures," "OBV," "we," "us," or "our").
By accessing or using the Site, you agree to be bound by these Terms. If you do not agree, please do not use the Site.
1. Scope of These Terms
These Terms govern your use of the Site and the demo call feature only. They do not govern any paid consulting engagement, statement of work, or client relationship with Opening Bell Ventures. If you become an OBV client, that relationship is governed by a separate, signed agreement between you (or your organization) and OBV, and the terms of that agreement control in the event of any conflict with this document.
Your use of the Site is also governed by our Privacy Policy, which describes how we collect and use information, including voice data from demo calls. The Privacy Policy is incorporated into these Terms by reference.
2. Eligibility
The Site is intended for business use. By using the Site, you represent that you are at least 18 years old and, if you are using the Site on behalf of a company or other organization, that you are authorized to do so and to agree to these Terms on that organization's behalf.
3. Description of Services
The Site provides information about Opening Bell Ventures and Shelly, our AI voice analyst product, and allows visitors to submit contact information through a lead form or request a demo call with Shelly. The demo call feature is available for U.S. phone numbers only and is provided to illustrate Shelly's capabilities; it does not create a client relationship or any obligation on OBV's part to provide consulting services.
We may modify, suspend, or discontinue any part of the Site or the demo call feature at any time, with or without notice.
4. Acceptable Use
You agree not to:
- Use the Site for any unlawful purpose or in violation of these Terms
- Attempt to gain unauthorized access to the Site, its systems, or any related infrastructure
- Interfere with or disrupt the Site, including through excessive automated requests, scraping, or denial-of-service activity
- Submit false, misleading, or fraudulent information through any form or the demo call feature
- Use the demo call feature to place an unreasonable volume of requests, or for any purpose other than genuinely evaluating Shelly
- Reverse engineer, decompile, or attempt to derive the underlying methodology, prompts, or architecture behind Shelly or any other OBV product or service
- Copy, reproduce, or use Site content, or interactions with the demo call feature, to build, train, benchmark, or improve a competing product or service
- Access or use the Site if you are a competitor of Opening Bell Ventures, or are evaluating the Site on a competitor's behalf, for purposes of competitive analysis
We reserve the right to restrict or terminate access to the Site or the demo call feature for anyone we believe, in our reasonable judgment, has violated this section.
5. Intellectual Property
The Site and all content on it, including text, graphics, logos, the Shelly name and branding, and the underlying design and functionality of the demo call feature, are owned by Opening Bell Ventures or its licensors and are protected by intellectual property laws.
We grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Site for the purpose of evaluating OBV's products and services. No other rights are granted. You may not reproduce, distribute, modify, or create derivative works from any part of the Site without our prior written permission.
6. Submissions
Any information you submit through the Site, including through the lead form, free-text fields, or the demo call feature, is handled as described in our Privacy Policy. By submitting information, you confirm that you have the right to provide it and that it is accurate.
We may use information you submit to respond to your inquiry, follow up regarding our services, and operate the Site, consistent with the Privacy Policy. Nothing in these Terms expands our rights to use your information beyond what the Privacy Policy describes.
7. Third-Party Links and Services
The Site may reference or link to third-party websites or services. We do not control and are not responsible for the content, terms, or practices of any third-party site. Your use of any third-party site is governed by that site's own terms and policies.
8. Disclaimer of Warranties
The Site and Services are provided "as is" and "as available," without warranties of any kind, whether express or implied, including warranties of merchantability, fitness for a particular purpose, or non-infringement. We do not warrant that the Site will be uninterrupted, error-free, or secure, or that any demo call, transcript, or output generated by Shelly will be accurate, complete, or suitable for any particular purpose.
9. Limitation of Liability
To the maximum extent permitted by law, Opening Bell Ventures shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of data, revenue, or business opportunity, arising out of or related to your use of the Site or the demo call feature, even if we have been advised of the possibility of such damages.
Our total aggregate liability to you for any claim arising out of or related to the Site or these Terms shall not exceed one hundred dollars ($100).
This limitation applies only to your use of the Site and the demo call feature. It does not apply to, and has no effect on, any liability terms in a separate signed agreement governing a paid engagement with OBV.
10. Indemnification
You agree to indemnify and hold Opening Bell Ventures, its officers, employees, and agents harmless from any claims, damages, liabilities, and expenses (including reasonable attorneys' fees) arising out of your violation of these Terms or your misuse of the Site or the demo call feature.
11. Governing Law and Venue
These Terms are governed by the laws of the State of Texas, without regard to its conflict-of-laws principles. Any dispute arising out of or relating to these Terms or your use of the Site shall be brought exclusively in the state or federal courts located in Travis County, Texas, and you consent to the personal jurisdiction of those courts.
12. Changes to These Terms
We may update these Terms from time to time. We will post the updated Terms on this page with a revised "Last Updated" date. Your continued use of the Site after changes are posted constitutes acceptance of the updated Terms.
13. Termination
We may suspend or terminate your access to the Site or the demo call feature at any time, for any reason, including if we believe you have violated these Terms.
14. General
- Severability. If any provision of these Terms is found unenforceable, the remaining provisions will remain in full force and effect.
- No waiver. Our failure to enforce any provision of these Terms is not a waiver of our right to do so later.
- Entire agreement. These Terms, together with our Privacy Policy, constitute the entire agreement between you and Opening Bell Ventures regarding the Site, and supersede any prior agreements regarding the Site specifically. They do not affect any separate signed agreement governing a paid engagement with OBV.
- Assignment. We may assign these Terms in connection with a merger, acquisition, or sale of assets. You may not assign these Terms without our prior written consent.
